Welcome to WorkDashly ("WorkDashly," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the WorkDashly website, mobile applications, and related services (collectively, the "Platform"). By creating an account or using the Platform, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract under United States law to use the Platform. By using WorkDashly, you represent and warrant that you meet these requirements.

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to promptly update it as needed. Notify us immediately of any unauthorized use of your account.

3. Role of WorkDashly

WorkDashly is a marketplace that connects independent workers ("Workers") with individuals and businesses seeking short-term services ("Employers"). WorkDashly is not the employer of any Worker, is not a party to any agreement between Workers and Employers, and does not supervise, direct, or control the services performed. Workers and Employers are solely responsible for their own arrangements, compliance with applicable laws (including tax, labor, and licensing laws), and the quality of services provided.

4. Payments and Fees

Where the Platform facilitates payments, those payments are processed through third-party payment providers subject to their terms. WorkDashly may charge service fees, which will be disclosed before you incur them. You are responsible for any taxes associated with payments you receive or make through the Platform. Where payments occur off-platform, the parties remain solely responsible for collection and remittance.

5. Prohibited Activities

You agree not to:

  • Violate any applicable law or third-party right;
  • Post false, misleading, or fraudulent content;
  • Circumvent the Platform to avoid fees or safety controls;
  • Harass, threaten, or discriminate against any user;
  • Upload viruses, malware, or harmful code;
  • Scrape, reverse engineer, or interfere with the Platform; or
  • Use the Platform for any unlawful or unauthorized purpose.

6. Termination

We may suspend or terminate your access at any time, with or without notice, for any reason, including violations of these Terms. You may close your account at any time. Provisions that by their nature should survive termination will survive.

7. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WORKDASHLY DOES NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, OR ACCURACY OF ANY USER OR LISTING.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKDASHLY AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO WORKDASHLY IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

9. Dispute Resolution; Arbitration

Please read this section carefully — it affects your legal rights. You and WorkDashly agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration administered by a recognized arbitration provider, rather than in court, except that you may assert claims in small-claims court if your claims qualify. You and WorkDashly waive the right to a trial by jury and to participate in a class action. If the class-action waiver is found unenforceable, then the entirety of this arbitration section will be void.

10. Governing Law

These Terms are governed by the laws of the United States and the State in which WorkDashly is headquartered, without regard to conflict-of-laws rules.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on the Platform with an updated effective date. Continued use of the Platform constitutes acceptance of the revised Terms.
